THIS MATTER having come on for hearing before me on 4 October 2024, and having heard Mr T Grey-Smith on behalf of the applicant and the respondent, the Chief Commissioner, pursuant to the powers conferred under the Industrial Relations Act 1979 (WA), hereby orders –
(1) THAT an Interim Board of the respondent is established, constituted by:
a. Neil GUARD
b. Amanda HUNT
c. Dan MINCHIN
d. Merinda MARCH
e. Justine COLYER
f. Susan ROONEY
g. Evan NUNN
(2) THAT Neil GUARD is designated President for the purposes of rule 15 of the respondent’s Rules.
(3) THAT Amanda HUNT is designated Secretary for the purposes of rule 16 of the respondent’s Rules.
(4) THAT rules 23 and 24 of the respondent’s Rules are waived.
(5) THAT the Interim Board shall have the authority to exercise all of the powers, duties, and functions of the Board of the respondent and each of the members of the Interim Board shall have the authority to exercise all of the powers, duties and functions of the office of member of the Board held by each of them.
(6) THAT for the purposes of rules 10, 11 and 12 of the respondent’s Rules, members may attend a General Meeting by videoconference and have their votes counted.
(7) THAT for the purposes of rule 22 of the respondent’s Rules, the requirement for a two thirds majority be waived and in lieu thereof, the requirement be a simple majority.
(8) THAT unless otherwise varied, this order will operate until 30 March 2025.
(9) THAT there shall be liberty to apply on short notice.
